LB ❤ Store — Vendor Agreement

Version 2026-08-20 · Between Carto AI Inc, operating the LB Store platform ("LB Store", "we"), and the vendor accepting this agreement ("you", "the Vendor").

1. What the platform provides

LB Store gives you a storefront on the LB Store customer app, a vendor portal and vendor app to run your business (products, orders, stock, money), a point-of-sale register, optional participation in the LB Partner Network, and coordination of customer deliveries. We promote the platform and bring you customers; you remain an independent business — nothing here creates employment, agency, or a partnership entity between us.

2. Direct payment collection

When a customer pays by Whish, your portion of the order is sent directly to your own Whish account. You agree to confirm receipt in the app promptly and truthfully using the "I received the Whish payment" action. Confirming a payment you did not receive, or failing to confirm one you did, is a material breach of this agreement.

3. Commission and settlement — your core obligation

Because customers pay you directly, you owe LB Store its commission on every sale. The commission rate is 15% of the gross sale price unless a different rate has been agreed with you in writing. It is recorded automatically the moment you confirm receipt of a payment.

Settlement deadline: once the total you owe reaches the settlement threshold (currently $25), you must settle the full amount within 24 hours of being notified. You can settle by credit card in the app (the card processing fee is added to the charge) or by Whish transfer using a payment code.

If you miss the deadline, your store is placed on hold: your products are hidden from the customer app and remain hidden until you have settled in full and LB Store reactivates your account. Repeated failure to settle on time is grounds for termination of this agreement, and all amounts owed remain due.

3b. Orders from outside Lebanon

Orders shipped outside Lebanon are paid by card to LB Store's payment processor, not to your Whish account. Your share of those sales (sale price less commission) is held for you and paid out in batched international transfers.

You are included in a transfer once your accumulated overseas balance reaches USD 100.
The real cost of moving that money — the international wire fee, correspondent bank fees, the receiving bank's fee and the withdrawal fee in Lebanon — is shared across the vendors in each transfer, in proportion to the amount each receives, and deducted from the payout.
These costs are quoted and charged at their maximum published tiers, so the amount you expect is never worse than what you receive.
Overseas balances are tracked separately from your Lebanese sales and appear separately in your portal and app.

4. Orders and fulfillment

Keep your stock counts accurate — customers can only buy what the app says you have.
Prepare confirmed, paid orders promptly and mark them ready on time; verify shipping details when asked.
Ship or hand over items matching the listing in quality, quantity, and description.
Honor the platform's return window and cooperate with refund handling. Where a refund is owed on a sale you collected directly, you refund the customer; your recorded commission on that sale is reversed.

5. Your listings

You confirm that everything you list is lawful to sell in Lebanon, authentic, accurately described and priced, and that you own or have rights to all photos, designs, and trademarks you upload. Food items must carry accurate sell-by information. LB Store may remove listings or suspend accounts that break these rules.

6. Customer data

Customer names, phone numbers, and addresses are shared with you solely to fulfill orders. You may not use them for marketing outside the platform, sell them, or retain them beyond what fulfillment and your legal obligations require.

7. Fees and changes

LB Store may adjust the commission rate, settlement threshold, or settlement window with at least 14 days' notice through the vendor portal or app. Continuing to sell after the notice period means you accept the change.

8. Term, suspension, and termination

Either side may end this agreement at any time with notice. On termination or suspension, all amounts you owe become immediately due, pending orders must still be fulfilled or refunded, and consigned goods are returned per the platform's returns process. LB Store may suspend accounts immediately for fraud, chargebacks, misconfirmed payments, or unlawful listings.

9. Liability

The platform is provided as-is. To the extent permitted by law, LB Store's total liability to you is limited to the commissions LB Store earned from your sales in the three months before the claim. Neither side is liable for indirect or consequential losses.

10. Governing law

This agreement is governed by the laws of the Lebanese Republic for your sales and conduct in Lebanon, without prejudice to Carto AI Inc's rights under the laws of its own jurisdiction. [Counsel: confirm governing-law and dispute-forum choice.]

11. Acceptance

You accept this agreement electronically in the vendor portal. The date, time, and version of your acceptance are recorded and constitute your signature.
